1. Acceptance of Terms
These Terms and Conditions ("Terms") govern access to and use of https://www.app.fastparty.ai, the Fast Party mobile application, and related websites, applications, software tools, AI features, content, migration services, and services (collectively, the "Platform"). The Platform is owned and operated by Fast Party, Inc., a Delaware corporation ("Fast Party," "we," "us," or "our"). Fast Party may use its wholly owned Indian subsidiary and personnel in India to provide engineering, support, migration, operations, and related services. By accessing or using the Platform, you agree to these Terms, our Privacy Policy, our Content Guidelines, and any other terms presented with the Platform. If you use the Platform on behalf of a company or other entity, you represent that you have authority to bind that entity.

2.Key Definitions
"User" means any individual or entity that accesses or uses the Platform, including hosts, guests, vendors, planners, design partners, and participants.
"Customer Data" means data, files, content, personal information, event records, guest lists, vendor information, media, communications, and materials submitted, uploaded, migrated, or otherwise made available to Fast Party by or on behalf of a User or customer.
"Applicable Law" means laws, rules, and regulations that apply to the relevant User, activity, transaction, location, data, or Platform use, including privacy, data protection, consumer protection, event, tax, advertising, and content laws where applicable.

3. Eligibility and Accounts
You must be at least 13 years old to use the Platform. If you are between 13 and the age of majority in your jurisdiction, you may use the Platform only with the consent and supervision of a parent or legal guardian. Fast Party may apply additional age, consent, or verification requirements for jurisdictions such as the EEA/UK or India where required.
You are responsible for maintaining the confidentiality of account credentials, devices, OTPs, passwords, login methods, and all activity under your account. You may not transfer, sell, assign, or share your account except as expressly permitted by Fast Party.

4. Platform Role
Fast Party is a technology platform that supports event planning, discovery, coordination, communication, migration, AI-assisted workflows, and related functionality. Fast Party is not the organizer, promoter, producer, employer, agent, partner, fiduciary, insurer, guarantor, or representative of any Host, Guest, Vendor, planner, venue, or third-party service provider unless expressly stated in a separate written agreement signed by Fast Party.
Fast Party does not control, supervise, guarantee, or verify the identity, qualifications, availability, legality, quality, safety, performance, pricing, or conduct of Users or third parties. Transactions, communications, attendance, bookings, payments, refunds, cancellations, and disputes between Users are the responsibility of those Users.

5. Platform Modifications
Fast Party may update, modify, suspend, discontinue, replace, or limit features of the Platform at any time, with or without notice, except where required by law. We are not liable for modifications, interruptions, or discontinuation of the Platform or any feature.

6. User Conduct
You agree to use the Platform only for lawful purposes and in accordance with these Terms. You must not impersonate others; upload malware; attempt unauthorized access; scrape or use bots without authorization; harass, threaten, defame, abuse, discriminate, exploit, or harm any person; post infringing or unlawful content; circumvent security features; use the Platform for fraud, spam, or unauthorized commercial activity; collect or disclose personal information of others except for legitimate event-related purposes and in compliance with Applicable Law; or use the Platform to build, train, benchmark, or improve a competing platform without Fast Party's written consent.

7. Privacy; Data Protection; Customer Responsibilities
Your use of the Platform is subject to the Privacy Policy. You are responsible for obtaining all notices, consents, permissions, and legal bases required before uploading, inviting, importing, migrating, or sharing personal information or media relating to others. If you are a business, design partner, host, vendor, or customer that uploads or directs Fast Party to process personal data, you are responsible for complying with Applicable Law in your role as controller/business/data fiduciary, including providing notices, honoring rights requests, maintaining lawful bases, and ensuring that personal data is accurate, relevant, and not excessive. Where required, the parties will enter into a Data Processing Addendum, business/service provider terms, EU/UK Standard Contractual Clauses, India DPDP terms, or order form addendum before processing regulated customer personal data. If a DPA applies, it controls over these Terms for the processing of personal data.

8. Phase 1 Design Partner Migration; Notion
For design partner onboarding or Phase 1 EU readiness, Fast Party may assist with migrating Customer Data to a customer-approved Notion workspace or other specified workspace. The migration is limited to the data categories, workspace, access scope, and retention period agreed in the applicable order form, statement of work, migration addendum, or written instruction. The customer/design partner must ensure that it has the right to provide the Customer Data to Fast Party and the destination workspace; that any required Notion or workspace DPA, SCCs, and transfer safeguards are in place on the customer's side; that unnecessary sensitive, special category, child, financial, or regulated data is excluded unless expressly agreed; and that access permissions in the destination workspace are appropriate. Fast Party will use commercially reasonable secure transfer methods, limit access to authorized personnel, maintain migration records, and return/delete migration data as agreed. Fast Party is not responsible for the privacy, security, availability, retention, or contractual compliance of customer-controlled third-party workspaces.

9. Additional Vendor and Host Obligations
Vendors must provide accurate descriptions, pricing, availability, qualifications, licenses, and service terms; comply with permits, taxes, insurance, safety, employment, subcontractor, and service obligations; and not manipulate reviews, bypass required payment systems, spam Users, or misuse User information. Hosts are responsible for event details, venue arrangements, safety, access, age restrictions, fees, refund policies, cancellation terms, legal compliance, and communications with Guests and Vendors. Hosts and Vendors must comply with privacy, consumer, advertising, accessibility, and event laws applicable to their activities.

10. Intellectual Property
The Platform, software, designs, logos, trademarks, text, graphics, workflows, AI orchestration, prompts, data models, interfaces, features, documentation, and all related intellectual property are owned by Fast Party or its licensors. Except for the limited right to use the Platform under these Terms, no rights are granted to you. You may not copy, modify, distribute, reverse engineer, decompile, disassemble, frame, mirror, scrape, or create derivative works from the Platform or Fast Party intellectual property without written authorization.

11. User Content and Customer Data
You retain ownership of your User Content and Customer Data, subject to the licenses granted in these Terms and any applicable customer agreement. You represent that you have all rights, permissions, notices, consents, and legal bases necessary to submit, upload, disclose, import, or migrate such content and data. For User Content other than User Media, you grant Fast Party a non-exclusive, worldwide, royalty-free, transferable, sublicensable license to host, store, reproduce, display, transmit, modify, adapt, publish, distribute, and use such content as necessary to operate, improve, protect, and provide the Platform and related services, subject to our Privacy Policy, Content Guidelines, and applicable customer agreements.

12. User Photos and Media - Limited License
When you upload User Media, you grant Fast Party a limited, non-exclusive, worldwide, royalty-free, revocable license solely to store, process, transmit, and display your User Media to you and the people you expressly share it with on the Platform for the purpose of operating requested Platform features. Fast Party will not use User Media for advertising, marketing, publicity, model training, analytics beyond service operation, or secondary purposes, and will not publish User Media to public pages or third-party services, without explicit per-use opt-in consent. Fast Party does not analyze User Media to derive biometric identifiers, conduct facial recognition, or infer emotions, and does not permit third parties to do so.

13. Feedback
If you submit ideas, suggestions, feature requests, comments, or feedback, Fast Party may use them without restriction, compensation, or obligation to you, provided we do not disclose confidential information in violation of applicable law or a written agreement.

14. Payments and Third-Party Services
Certain features may involve third-party payment processors, maps, analytics, communications tools, app stores, vendor services, venues, Notion or productivity tools, AI providers, or integrations. Third-party services are governed by their own terms and privacy policies. Fast Party is not responsible for third-party services, outages, actions, omissions, fees, refunds, data practices, or content. Unless Fast Party expressly states otherwise, Fast Party does not collect event payments on behalf of Hosts, Guests, or Vendors and is not responsible for refunds, chargebacks, cancellations, taxes, or payment disputes between Users.

15. Content Moderation, Notice, Takedown, and Appeals
Fast Party may remove, restrict, edit, label, deprioritize, or refuse to display Content that we believe violates these Terms, the Content Guidelines, third-party rights, or Applicable Law. We may suspend or terminate accounts for serious or repeated violations. Users may report unlawful, infringing, unsafe, or policy-violating content using in-app reporting tools or by emailing contact@fastparty.ai. Reports should identify the content, explain the concern, and include contact information. Where required by law, Fast Party will provide a statement of reasons and an appeal mechanism for certain moderation decisions. If you believe your intellectual property rights are being violated, notify us at contact@fastparty.ai with your contact details, identification of the content, proof of ownership or authorization, and a statement that you have a good-faith belief the use is unauthorized.

16. AI Features
The Platform may provide AI-generated suggestions, recommendations, summaries, classifications, vendor matches, budget estimates, timelines, and other outputs. AI outputs may be inaccurate, incomplete, biased, outdated, or unsuitable. You are responsible for reviewing and validating AI outputs before relying on them. Fast Party does not guarantee outcomes from AI features. You must not use AI features to generate unlawful, discriminatory, infringing, deceptive, exploitative, unsafe, or harmful content, or to make decisions that legally or similarly significantly affect individuals without appropriate human review and required legal safeguards.

17. Disclaimers
THE PLATFORM, CONTENT, USER CONTENT, USER MEDIA, CUSTOMER DATA, AI OUTPUTS, VENDOR LISTINGS, RECOMMENDATIONS, INFORMATION, AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" TO THE MAXIMUM EXTENT PERMITTED BY LAW. FAST PARTY DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, RELIABILITY, AND ERROR-FREE OPERATION.

18. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FAST PARTY AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, LICENSORS, SERVICE PROVIDERS, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, OR ENHANCED DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST GOODWILL, LOSS OF USE, LOSS OF DATA, BUSINESS INTERRUPTION, OR EVENT-RELATED LOSSES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE MAXIMUM EXTENT PERMITTED BY LAW, FAST PARTY'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE PLATFORM OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) AMOUNTS YOU PAID TO FAST PARTY FOR THE PLATFORM IN THE SIX MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY, OR (B) US$100. Nothing in these Terms excludes liability that cannot be excluded under Applicable Law.

19. Indemnification
You agree to defend, indemnify, and hold harmless Fast Party and its affiliates, officers, directors, employees, contractors, licensors, service providers, and agents from and against claims, liabilities, losses, damages, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to your use or misuse of the Platform; your Content, User Media, or Customer Data; your event, listing, service, transaction, or interaction with other Users; your breach of these Terms; your violation of law or third-party rights; or your failure to obtain required notices, consents, rights, permissions, or legal bases.

20. Force Majeure
Fast Party will not be liable for delay, failure, interruption, or unavailability caused by events beyond its reasonable control, including natural disasters, public health emergencies, war, terrorism, civil unrest, labor disputes, government actions, sanctions, internet or utility failures, hosting or cloud provider outages, cyberattacks, denial-of-service attacks, ransomware, or malicious third-party actions. Fast Party will use commercially reasonable efforts to mitigate the impact and resume affected services.

21. Governing Law; Venue
These Terms and any dispute arising out of or relating to these Terms, the Platform, or your relationship with Fast Party will be governed by the laws of the State of Delaware, without regard to conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply. Subject to the arbitration clause below and any non-waivable consumer rights under Applicable Law, the state and federal courts located in Delaware will have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Platform, and you consent to personal jurisdiction and venue in those courts.

22. Arbitration; Class Action Waiver
To the fullest extent permitted by law, disputes arising out of or relating to these Terms or the Platform will be resolved by final and binding individual arbitration administered by the American Arbitration Association under its applicable rules. The seat and venue of arbitration will be Delaware, the arbitration will be conducted in English, and judgment on the award may be entered in any court of competent jurisdiction. You may opt out of arbitration within 30 days after first accepting these Terms by sending written notice to Fast Party at the contact address below. Nothing prevents either party from seeking injunctive or equitable relief in court for misuse of intellectual property, confidentiality breaches, security threats, unauthorized access, or similar urgent matters. YOU AND FAST PARTY AGREE THAT EACH PARTY MAY BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF, CLASS MEMBER, OR REPRESENTATIVE IN ANY CLASS, COLLECTIVE, REPRESENTATIVE, OR PRIVATE ATTORNEY GENERAL ACTION, TO THE MAXIMUM EXTENT PERMITTED BY LAW.

23. Electronic Communications
By using the Platform or contacting Fast Party electronically, you consent to receive electronic communications from Fast Party, including transactional, administrative, security, legal, and account-related notices. Electronic communications satisfy legal requirements that communications be in writing.

24. Changes to Terms
We may update these Terms from time to time. Updated Terms will be posted on the Platform with a new effective date. Your continued use after changes become effective means you accept the updated Terms to the extent permitted by law. If you do not agree, you must stop using the Platform.

25. General
These Terms, together with the Privacy Policy, Content Guidelines, and any other terms expressly incorporated by reference, constitute the entire agreement between you and Fast Party regarding the Platform. If any provision is unenforceable, it will be enforced to the maximum extent permitted by law and the remaining provisions will remain in effect. No waiver will be effective unless in writing. You may not assign these Terms without Fast Party's prior written consent. Fast Party may assign these Terms in connection with a merger, acquisition, reorganization, sale of assets, or by operation of law.
